1. Acceptance of these terms
These Terms form an agreement between you and Gyilo Technologies (“Gyilo”, “we”, “us” or “our”). By accessing or using the Services, creating an account, accepting an invitation or using a booking or tracking link, you agree to these Terms and our Privacy Policy.
If you use Gyilo for a company or other organisation, you confirm that you have authority to bind it. If you do not agree, do not use the Services.
2. What Gyilo provides
Gyilo provides software that helps logistics providers receive and structure orders, manage customers and vendors, configure pricing, collect payments, dispatch riders, track milestones, confirm delivery and maintain operational and financial records.
Each logistics provider (“LP”) offers and controls its own delivery services, pricing, service areas, personnel, riders, customer promises and operational decisions.
3. Accounts and workspace access
- You must provide accurate information and keep it current.
- You must be at least 18 years old and legally capable of entering a binding agreement.
- You are responsible for safeguarding credentials and for activity performed through your account.
- Workspace owners must grant the minimum appropriate role, remove access promptly when it is no longer needed and ensure invited users are authorised.
- You must notify us promptly of suspected unauthorised access or compromise.
We may require identity, business or contact verification before enabling some features.
4. Logistics provider responsibilities
Each LP is responsible for:
- Holding all licences, permits, insurance and authorisations required for its operations.
- Providing accurate, transparent prices, fees, delivery terms, refund practices and customer information.
- Ensuring staff and riders are qualified, appropriately engaged, trained and managed.
- Handling parcels lawfully and safely, including restricted, fragile, hazardous or high-value items.
- Obtaining a lawful basis and providing required notices for customer, recipient, vendor, rider, location and communications data entered into Gyilo.
- Reviewing AI-generated drafts, prices, addresses and dispatch information before acting on them.
- Responding to customer complaints, failed or delayed deliveries, loss, damage, returns and service refunds.
5. Bookings and deliveries
A booking request is not guaranteed until the relevant LP accepts or confirms it under its workflow. Quotes may expire and may change before confirmation where the information supplied was incomplete or incorrect.
Customers, vendors and LP users must provide accurate pickup, destination, contact, package and timing information. A recipient confirmation code is a delivery-control feature and must be shared with the rider only after the parcel has been received. Users must not request or disclose the code prematurely.
Delivery timing, route and location information may be estimates affected by traffic, weather, address accuracy, rider availability, third-party maps and other circumstances.
6. Payments, commissions and settlements
Payments may be processed by Paystack or another displayed payment provider. Their terms may also apply. Gyilo does not store full payment card details.
The amount shown before payment may include the LP’s delivery price and applicable platform charges. Gyilo’s commission or subscription arrangements with an LP are separate from rider compensation unless expressly shown otherwise. LPs remain responsible for configuring rider pay and ensuring salary, commission, tax and settlement obligations are met.
Payment confirmation, refund, chargeback, transfer and settlement status may depend on provider records and reconciliation. Where records conflict, Gyilo may investigate and correct ledger entries. Fees already earned for a completed service may be non-refundable except where required by law or expressly agreed.
7. Riders and employment status
Riders are engaged or managed by the relevant LP, not by Gyilo, unless a separate written agreement expressly states otherwise. Gyilo does not determine whether a rider is an employee, contractor or gig worker. The LP is responsible for the lawful classification, compensation, benefits, tax, insurance, safety and supervision of its riders.
Riders must use accurate status updates, protect customer information, follow lawful delivery instructions and never mark a delivery complete before a genuine handover and valid confirmation.
8. Acceptable use
You must not use the Services to:
- Break the law, violate another person’s rights or facilitate fraud, theft, harassment or deception.
- Arrange delivery of prohibited, illegal, dangerous or improperly declared items.
- Access another account or workspace without permission.
- Upload malware, disrupt the Services, probe security, bypass controls or overload infrastructure.
- Scrape, copy, reverse engineer or resell the Services except where expressly permitted by law or a written agreement.
- Send spam or use WhatsApp, email or other communications contrary to applicable rules and recipient consent.
- Submit personal data or confidential information you are not authorised to process.
- Misrepresent delivery status, payment, identity, location, recipient confirmation or financial records.
9. Third-party services
The Services may connect with Meta/WhatsApp, Paystack, Google Maps, Resend, OpenRouter and other providers. Those services are operated independently and may have separate terms, privacy policies, availability, limits and fees. Gyilo is not responsible for a third party’s systems, decisions or outages, but we will take reasonable steps to manage integrations we control.
10. Data, content and confidentiality
You retain ownership of information and content you submit. You grant Gyilo a limited right to host, copy, transmit, display, transform and otherwise process that content as needed to provide, secure and improve the Services and meet legal obligations.
You confirm that you have the rights and lawful basis needed to submit the content. Each party must protect confidential information received from the other and use it only for the relationship, except where disclosure is authorised or legally required.
Our handling of personal information is described in the Privacy Policy. LPs may request additional data-processing terms where appropriate.
11. Intellectual property
Gyilo and its licensors own the Services, software, designs, trademarks, documentation and related intellectual property. These Terms give you a limited, non-exclusive, non-transferable, revocable right to use the Services during the agreement for their intended business purpose.
Feedback may be used to improve Gyilo without restriction or payment, provided it does not identify you publicly without permission.
12. Pilot, beta and AI-assisted features
Features described as pilot, beta, preview or experimental may change, be limited or be discontinued. AI-assisted extraction and suggestions can be inaccurate. An authorised user must review and confirm drafts before a booking, price, payment, dispatch or customer message is treated as final.
13. Suspension and termination
You may stop using the Services at any time. We may restrict, suspend or terminate access where reasonably necessary to address non-payment, security risk, unlawful or abusive use, material breach, regulatory requirements, third-party platform restrictions or risk to users or the Services.
Where practical, we will give notice and an opportunity to remedy the issue. Immediate action may be taken where delay could create harm or legal exposure. Provisions that by nature should survive termination will continue, including payment obligations, intellectual property, confidentiality, disclaimers, liability and dispute terms.
14. Service disclaimers
We aim to provide a reliable service, but the Services are provided on an “as available” basis to the extent permitted by law. We do not guarantee uninterrupted availability, a particular business result, error-free AI output, exact map or location data, rider availability, delivery completion or third-party service performance.
Nothing in these Terms excludes rights or remedies that cannot lawfully be excluded, including applicable consumer rights.
15. Limitation of liability
To the maximum extent permitted by law, Gyilo will not be liable for indirect, incidental, special, punitive or consequential loss, or for lost profit, revenue, goodwill, opportunity or data, arising from use of the Services.
Gyilo is not responsible for the acts or omissions of an LP, rider, customer, vendor, recipient or third-party provider, including parcel loss or damage, unsafe conduct, inaccurate booking information, delivery delay or payment-provider action.
Where liability cannot be excluded, Gyilo’s aggregate liability arising from the Services will not exceed the fees paid to Gyilo by the affected customer during the three months before the event giving rise to the claim, subject always to liabilities that applicable law does not allow us to limit.
16. Indemnity
To the extent permitted by law, a business user will defend and indemnify Gyilo and its personnel against third-party claims, losses and reasonable costs resulting from that user’s unlawful content, delivery operations, breach of these Terms, infringement of rights, or misuse of the Services.
17. Governing law and disputes
These Terms are governed by the laws of the Federal Republic of Nigeria. Before starting formal proceedings, the parties will try in good faith for at least 30 days to resolve a dispute through written notice and direct discussion. If it remains unresolved, the courts of competent jurisdiction in Nigeria will have jurisdiction, unless applicable law requires another forum.
18. Changes to these terms
We may update these Terms as the Services, commercial arrangements or law change. We will post the revised Terms, update the effective date and give additional notice where a material change requires it. Continued use after the effective date means the updated Terms apply.
